Terms of Service
Last Updated: October 14, 2026
1. Introduction
These Terms of Service govern access to and use of ArchFP, the AI-assisted SaaS platform provided by Project Rayder Inc. The platform is designed for architecture firms and other users to discover relevant RFP opportunities, centralise and analyse RFP and proposal information, and receive drafting support to streamline proposal preparation. All outputs require professional review by the user before reliance or use. The service is available to users in Canada and the US, and other international jurisdictions, subject to the governing law and jurisdiction specified herein.
By ticking the box to agree to these Terms of Service when creating an account, or by otherwise accessing or using the platform, you agree to be bound by these Terms of Service and acknowledge our Privacy Policy. If you accept these Terms of Service on behalf of a firm or other organisation, you represent that you have authority to bind it, and "you" and "user" include that organisation. If you do not agree to these Terms of Service, you must not create an account or use the platform.
2. Eligibility and User Categories
To be eligible to use the services provided by Project Rayder Inc., users must be at least eighteen (18) years of age, possess the legal capacity to enter into binding agreements, and comply with all applicable laws and regulations in their jurisdiction. User categories include: (a) individual professionals; (b) business entities such as architecture firms; and (c) authorised representatives acting on behalf of such entities. A user who registers or accepts these Terms of Service on behalf of a business entity represents and warrants that they are authorised to bind that entity to these Terms of Service. Users accessing the platform from Canada and the US, or other international jurisdictions must ensure that their use is lawful in their respective location. Project Rayder Inc. reserves the right to verify eligibility and restrict access to certain features or services based on user category or geographic location.
3. Account Registration and Security
To access and use the platform, users must register an account by providing accurate and complete information as requested by Project Rayder Inc. Users are responsible for maintaining the accuracy of their account details and must promptly update any changes. Each account, and each user seat on a paid plan, is for one named individual: login credentials must not be shared, and a seat may not be used by more than one person. Each user is required to safeguard their login credentials and is responsible for all activity that occurs under their account. Users must immediately notify Project Rayder Inc. of any suspected or actual unauthorised access to their account. Project Rayder Inc. reserves the right to refuse registration, suspend, or terminate accounts where information is inaccurate, credentials are compromised, or unauthorised access is detected.
4. Description of the Services
The AI-assisted SaaS platform provided by Project Rayder Inc. enables architecture firms and other users to discover relevant RFP opportunities, centralise and analyse RFP and proposal information, and receive drafting support to streamline proposal preparation. The platform's main features include automated RFP discovery, centralised document management, analytics for proposal performance, and AI-powered drafting tools. All AI-generated outputs are assistive only, may contain inaccuracies, and must be professionally reviewed by the user before reliance or use. The service is available to users in Canada, the US, and other international jurisdictions, subject to the governing law and jurisdiction specified herein. Important limitations include: no guarantee of RFP success, contract awards, or any commercial outcomes; no provision of legal, architectural, contractual, financial, or other professional advice; and all intellectual property in the platform remains the exclusive property of Project Rayder Inc.
5. Free Trials and Beta Features
Where offered, a free trial of a paid plan lasts fourteen (14) days and is available only to an account that has not previously had a subscription. A valid payment card is required to start a free trial. Unless the user cancels before the trial ends, the trial automatically converts into a paid subscription to the plan selected, and the user's card is charged the applicable fee at the end of the trial and on each renewal date after that, as described in the Fees, Payment and Subscription Terms section. Users may cancel during a free trial from Settings → Billing in the platform, or by emailing support@myarchfp.com, and will not be charged.
From time to time, Project Rayder Inc. may offer users access to time-limited features, or beta and experimental functionalities within the platform. Such access is provided solely at the discretion of Project Rayder Inc. and may be subject to additional terms, limitations, or withdrawal at any time without notice. Users acknowledge that beta features and free trials may be incomplete, unstable, or contain errors, and are provided "as is" without warranties of any kind. Project Rayder Inc. expressly disclaims liability for any loss, damage, or reliance arising from the use of free trials or beta features. Users must professionally review all outputs generated during such periods before reliance or use.
6. Access and Acceptable Use
Users may access the platform solely for lawful purposes and in accordance with these Terms of Service. Prohibited behaviours include: (a) attempting to gain unauthorised access to the platform or its systems; (b) interfering with the operation, security, or integrity of the platform; (c) using automated scripts, bots, or scraping tools without prior written consent; (d) uploading or transmitting content that is unlawful, harmful, or infringes third party rights; (e) reverse engineering, decompiling, or otherwise attempting to derive the source code of the platform; (f) engaging in any activity that disrupts or impairs the platform's functionality for other users; (g) uploading or transmitting viruses, malware, or other malicious code; (h) conducting security, vulnerability, or penetration testing of the platform without prior written consent; (i) sharing an account or seat, or exceeding the seat or usage limits of the applicable plan; (j) attempting to circumvent seat or usage limits, free trial eligibility, access controls, or other technical restrictions, including by creating multiple accounts; and (k) any use prohibited by the Competitive Use Restrictions section. Technical restrictions may apply to prevent misuse or protect the platform. Project Rayder Inc. reserves the right to monitor usage, restrict access, and take appropriate action in response to violations, including suspension or termination of accounts.
7. Competitive Use Restrictions
Definitions. In these Terms of Service, a "Competing Product" is any software, platform, application, or automated or AI-powered service that offers functionality substantially similar to, or that competes with, any material part of the platform, including RFP or bid discovery, RFP and proposal content management, AI-assisted proposal drafting, and bid/no-bid evaluation. A "Competitor" is any person or organisation, together with its affiliates, that offers, markets, sells, or licenses a Competing Product to others, or is developing one for that purpose, and includes its employees, contractors, consultants, and agents when acting for it or for its benefit.
Restrictions. Users must not, and must not permit or assist anyone else to: (a) access or use the platform, its outputs, its documentation, or any non-public information about it to design, build, train, benchmark, improve, market, or sell a Competing Product; (b) copy, imitate, or reproduce the platform's features, functions, workflows, user interface, content, prompts, templates, or scoring methods for any competitive purpose; (c) extract, reconstruct, or attempt to discover the platform's prompts, system instructions, model configurations, scoring logic, or other non-public elements, including by probing or manipulating its AI features; (d) use any output of the platform to develop or train a Competing Product, including any artificial intelligence model offered as or within a Competing Product; (e) monitor the platform's availability, performance, or functionality, or compile information about it, for any competitive purpose; or (f) give a Competitor access to the platform, or provide a Competitor with screenshots, recordings, exports, documentation, or other non-public information about the platform.
No access by Competitors. A Competitor may not access or use the platform, including through a free trial, a demonstration, or another customer's account, without the prior written consent of Project Rayder Inc. Any access to or use of the platform by or for a Competitor without that consent is unauthorised. Users must not register for or use the platform with false or misleading information about their identity, employer, or purpose, or conceal an affiliation with a Competitor, and must confirm in writing, promptly on request, whether they are a Competitor or are acting for one.
Enforcement. If Project Rayder Inc. reasonably believes that a user is a Competitor, is acting for one, or has breached this section, it may immediately suspend or terminate that user's access, without notice or refund, in addition to any other remedy available to it. Users acknowledge that a breach of this section would cause Project Rayder Inc. irreparable harm for which damages alone would not be an adequate remedy, and that Project Rayder Inc. is entitled to seek an injunction or other equitable relief to prevent or stop such a breach, without having to prove actual damages and, to the extent permitted by law, without posting security, in addition to damages and any other remedy. A user who breaches this section is liable for Project Rayder Inc.'s reasonable legal costs of enforcing it. This section applies in addition to the Access and Acceptable Use and Confidentiality sections and survives termination of these Terms of Service.
8. User Content Ownership
Users retain ownership of all content, data, and materials uploaded to or generated through the platform, including documents, proposal information, answers, project records, and CVs ("User Content"). Project Rayder Inc. does not claim ownership of User Content. Ownership remains with the user at all times, subject to the licence granted for the operation of the service. Users represent and warrant that they have all rights, consents, and permissions needed to upload their User Content and to have it processed as described in these Terms of Service and our Privacy Policy, including for any personal information about other individuals (such as employees' or subconsultants' CVs) that it contains.
9. User Content Licence to the Service Provider
Users grant Project Rayder Inc. a limited, non-exclusive, worldwide, royalty-free licence to host, store, copy, process, analyse, and display User Content solely to provide, maintain, secure, support, and improve the platform, including by transmitting it to the service providers listed in our Privacy Policy for those purposes. Project Rayder Inc. may analyse User Content, including AI-generated outputs, to maintain and improve the quality of the platform, but will not use User Content to train artificial intelligence models, will not make one customer's User Content available to other customers, and will not use User Content for purposes unrelated to the operation or improvement of the platform. Under their terms, the AI providers that process User Content for Project Rayder Inc. do not use it to train their models. This licence does not transfer ownership of User Content, and users retain all rights in their User Content subject only to the licence granted herein.
10. Confidentiality
Each party must maintain the confidentiality of all non-public business information, technical data, and sensitive materials disclosed in connection with the platform. Confidential information may include, but is not limited to, proprietary algorithms, prompts, scoring methods, workflows, non-public information about the platform, user data, and business strategies. Both Project Rayder Inc. and users are required to implement reasonable safeguards to protect such information from unauthorised access, disclosure, or misuse. Disclosure is permitted only to personnel or advisors who need to know for the purpose of using or providing the services, and who are bound by equivalent confidentiality obligations. These obligations survive termination of the user's account or cessation of services. Exceptions apply where disclosure is required by law, regulation, or court order, provided prompt notice is given to the disclosing party, unless prohibited. This section does not restrict the use or disclosure of information that is already public, independently developed, or lawfully obtained from third parties without confidentiality restrictions.
11. Intellectual Property Rights in the Platform
Subject to these Terms of Service and payment of any applicable fees, Project Rayder Inc. grants each user a limited, non-exclusive, non-transferable, non-sublicensable, revocable right, during the user's subscription or free trial, to access and use the platform for internal business purposes within the seat and usage limits of the applicable plan. All software, algorithms, prompts, templates, scoring methods, workflows, user interfaces, models, documentation, and branding associated with the platform remain the exclusive intellectual property of Project Rayder Inc. or its licensors. Users are granted no rights or interests in the platform's intellectual property except as expressly set out in these Terms of Service. Any unauthorised use, reproduction, modification, or distribution of the platform's intellectual property is strictly prohibited. Project Rayder Inc. reserves all rights not expressly granted herein.
12. Third Party Services and Content
The platform may enable access to, integration with, or use of third party services, data sources, or content. Users acknowledge that Project Rayder Inc. does not control, endorse, or assume responsibility for any third party services or content, including their accuracy, reliability, or availability. Use of third party services is subject to the applicable terms and policies of those providers. Project Rayder Inc. expressly disclaims liability for any loss, damage, or reliance arising from third party services or content. Users are solely responsible for reviewing and complying with all relevant third party terms before use or integration. Project Rayder Inc. may suspend, modify, or discontinue integrations with third party services at its discretion and without notice.
13. Third-Party Portal Access
The platform allows users to connect accounts they hold with third-party bid and procurement portals so that the platform can retrieve opportunities for them. By adding a portal's login details to the platform, a user: (a) authorises Project Rayder Inc., and the service providers it uses for this purpose, to access that portal on the user's behalf and at the user's direction using those details; (b) represents that they are entitled to share those details and that access of this kind is permitted under the portal's terms, or that they have obtained any permission required; and (c) remains responsible for their portal account and for complying with the portal's terms. Project Rayder Inc. stores portal login details in encrypted form and uses them only to sign in to that portal for the user. Portals may change, restrict, or block automated access at any time. Project Rayder Inc. is not liable for any unavailability of a portal, for missed, late, or incomplete opportunities, or for any suspension, restriction, or termination of a portal account arising from access through the platform. Users may remove a portal's login details from the platform at any time, which deletes them and ends Project Rayder Inc.'s access to that portal.
14. No Professional Advice
The services, platform features, and all outputs provided by Project Rayder Inc. do not constitute legal, architectural, contractual, financial, or any other form of professional advice. Users are solely responsible for exercising their own professional judgement and must obtain independent advice as required. All AI-generated content is assistive only, may contain inaccuracies, and must be professionally reviewed by the user before reliance or use. Project Rayder Inc. expressly disclaims responsibility for any decisions, actions, or outcomes based on the use of the platform or its outputs.
15. AI Functionality and Output Disclaimers
The platform utilises AI-assisted features to support proposal drafting and information analysis. All AI-generated outputs are provided as assistive tools only, may contain inaccuracies or limitations, and are not guaranteed to be accurate, complete, or fit for any particular purpose. Users are solely responsible for professionally reviewing all AI-generated content before reliance or use. Project Rayder Inc. expressly disclaims liability for any decisions, actions, or outcomes based on AI-assisted outputs. No guarantee is provided regarding RFP success, contract awards, or any commercial results arising from use of the platform.
16. Service Availability and Changes to the Services
Project Rayder Inc. endeavours to provide reliable access to the platform for users in Canada, the US, and other international jurisdictions. Service availability may be subject to scheduled maintenance windows, unscheduled downtime, or technical limitations. Project Rayder Inc. reserves the right to modify, discontinue, suspend, or reconfigure any features, functionalities, or components of the platform at any time, with or without notice, to ensure security, compliance, or operational improvement. Users acknowledge that no specific uptime targets or guarantees are provided, and that access may be interrupted for maintenance, upgrades, or unforeseen events. Project Rayder Inc. will use reasonable efforts to notify users of material changes or planned maintenance where practicable, but is not liable for any loss, damage, or reliance arising from changes to service availability or platform features.
17. Fees, Payment and Subscription Terms
Plans and fees. Paid access to the platform is provided by subscription to one of the plans described on the pricing page at myarchfp.com/pricing (each a "plan"), billed monthly or annually as selected at checkout, or on the terms of an order form signed by Project Rayder Inc. Each plan includes the number of user seats and the usage limits (such as answer library entries and firm projects) described on the pricing page. Fees are as shown at checkout or in the applicable order form and are payable in advance, by card through Project Rayder Inc.'s payment processor, Stripe, or by another method set out in an order form.
Automatic renewal. Subscriptions renew automatically at the end of each billing period for a further period of the same length, at the then-current fee for the plan, until cancelled. By starting a subscription, the user authorises Project Rayder Inc. and Stripe to charge the payment card on file for each renewal.
Cancellation. Users may cancel a subscription at any time from Settings → Billing in the platform, or by emailing support@myarchfp.com. Cancellation takes effect at the end of the current billing period, and access to paid features continues until then.
Refunds. Except where required by law or expressly stated in these Terms of Service, fees are non-refundable, including for partial billing periods and unused seats.
Price changes. Project Rayder Inc. may change the fee for a plan on at least thirty (30) days' notice by email or in-app notification. The new fee applies from the first renewal after the notice period ends; users who do not agree to it may cancel before then.
Plan changes. Users may change plans from Settings → Billing in the platform. Upgrades to a higher plan take effect as soon as payment for the change succeeds, and the prorated difference for the rest of the current billing period is charged at that time. Switches from monthly to annual billing, on their own or together with an upgrade, also take effect once payment succeeds. The subscription keeps its billing date: the first annual period runs until the next anniversary of that date, its fee is prorated to that date and charged at the time of the switch, less a credit for the unused part of the current monthly period, and later annual renewals fall on that date. Moves to a lower plan, and switches from annual to monthly billing, take effect at the end of the current billing period, and the user keeps their current plan until then. A lower plan can be selected only if the team's members and pending invitations fit within its seats. During a free trial, plan changes take effect immediately and nothing is charged until the trial ends. Moving to a lower plan may reduce seats, usage limits, or features, and Project Rayder Inc. is not liable for any resulting loss of capacity.
Failed payments. If a payment fails, Project Rayder Inc. may suspend access to paid features until payment is received. Users are responsible for reviewing fee structures and payment terms before subscribing or renewing.
18. Taxes
Fees are exclusive of taxes. Users are responsible for all applicable taxes, including sales tax, HST, VAT, GST, or similar charges, arising from their access to and use of the platform, other than taxes on Project Rayder Inc.'s income. Where Project Rayder Inc. is required by law to collect such taxes, they will be added to the fees charged. Users must ensure compliance with their local tax obligations. Project Rayder Inc. is not responsible for any additional taxes, duties, or charges imposed by authorities outside Canada unless expressly stated.
19. Platform Updates, Modifications and Suspension of the Services
Project Rayder Inc. may upgrade, modify, limit, or suspend the services at any time to ensure security, legal compliance, operational improvement, or to prevent misuse. Changes may include updates to features, technical enhancements, or temporary restrictions on access. Suspension or limitation may occur in response to suspected violations of these Terms of Service, non-payment, or as required by applicable law or regulatory authority. Users acknowledge that service modifications or interruptions may be implemented without prior notice, and Project Rayder Inc. is not liable for any loss, damage, or reliance arising from such actions. Users are responsible for reviewing all notifications regarding upgrades or changes to the platform.
20. Account Suspension and Termination
Users may stop using the platform at any time and may cancel a subscription as described in the Fees, Payment and Subscription Terms section. Either party may terminate these Terms of Service by written notice if the other party materially breaches them and fails to cure the breach within thirty (30) days after receiving written notice of it. In addition, Project Rayder Inc. reserves the right to suspend or terminate user accounts at its sole discretion for misuse, breach of these Terms of Service, non-payment of fees, or as required for legal compliance. Suspension or termination may occur immediately and without prior notice where necessary to protect the platform, comply with applicable law, or respond to violations. Where practicable, Project Rayder Inc. will provide notice to the user of suspension or termination, specifying the grounds and any procedures for appeal or reinstatement. Users remain responsible for all obligations and fees incurred prior to suspension or termination. Access to the platform and user content may be restricted or discontinued upon account suspension or termination. Project Rayder Inc. is not liable for any loss, damage, or reliance arising from account suspension or termination.
21. Effects of Termination
Upon termination or expiry of a user account, access to the platform and all associated services will cease immediately. Users may request export of their content and data within a reasonable period following termination, subject to applicable procedures and technical limitations. Project Rayder Inc. will delete user data within thirty (30) days of a request sent to support@myarchfp.com, except where retention is required by law or for legitimate business purposes. Obligations relating to confidentiality, intellectual property, competitive use restrictions, fees and payments accrued before termination, disclaimers, limitation of liability, indemnity, feedback, and governing law and jurisdiction survive termination, together with any other provision that by its nature is intended to survive. Users must not attempt to access the platform or use any services after termination, and any post-termination restrictions specified in these Terms of Service remain in effect.
22. Privacy and Data Protection
Project Rayder Inc. is committed to protecting the privacy and security of users' personal data. The platform's collection, use, sharing, and protection of personal information are governed by the Privacy Policy available at myarchfp.com/privacy, which also lists the service providers that process personal data on Project Rayder Inc.'s behalf. Personal data may include information provided during account registration, usage analytics, and content uploaded or generated through the platform. Data is processed by Project Rayder Inc. as the data controller, whose address is 1366, Creekside Dr., Oakville, ON, L6H 4Z3, Canada. Users may contact the Privacy Officer at support@myarchfp.com or by phone at +1 (647) 676-7886 regarding privacy matters. Personal data may be transferred and processed in Canada, the US, and other international jurisdictions, subject to applicable laws and safeguards. Project Rayder Inc. implements reasonable technical and organisational measures to protect personal data against unauthorised access, disclosure, or misuse. Users are encouraged to review the Privacy Policy for details on data retention, cross-border transfers, and their rights under applicable privacy laws.
23. International Use and Geographic Scope
The services provided by Project Rayder Inc. are offered to users in Canada, the United States, and other international jurisdictions. Users accessing the platform from any location are responsible for ensuring compliance with all applicable local laws and regulations. Project Rayder Inc. does not guarantee that the platform or its features are appropriate or available for use in all jurisdictions. Access may be restricted or unavailable in certain countries or regions due to legal, regulatory, or technical limitations. Users must not use the platform where such use would be unlawful or prohibited. Project Rayder Inc. reserves the right to modify geographic availability and restrict access based on jurisdictional requirements.
24. Governing Law and Jurisdiction
These Terms of Service are governed by the laws of Ontario, Canada. The courts of Ontario, Canada shall have exclusive jurisdiction to resolve any dispute arising from or relating to the platform, its services, or these Terms of Service, except that Project Rayder Inc. may seek an injunction or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information, or to enforce the Competitive Use Restrictions section. Nothing in this section limits any mandatory consumer protections or rights available under applicable law in the user's jurisdiction. Users accessing the platform from the United States or other international jurisdictions acknowledge that Canadian law and courts will apply, except where local law requires otherwise.
25. Warranties and Disclaimers
Project Rayder Inc. provides the platform and its services on an "as is" and "as available" basis, without any express or implied warranties except as expressly stated herein. To the fullest extent permitted by applicable law, all implied warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement, are excluded. No guarantee is provided regarding uninterrupted access, accuracy, completeness, or fitness of the platform or its outputs for any particular purpose. Users acknowledge that AI-generated content is assistive only, may contain inaccuracies, and must be professionally reviewed before reliance or use. Project Rayder Inc. expressly disclaims liability for any loss, damage, or reliance arising from use of the platform, including data loss, missed opportunities, or business outcomes. No warranty is given for RFP success, contract awards, or any commercial results. Users are solely responsible for ensuring that their use of the platform complies with all applicable laws and regulations.
26. Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall Project Rayder Inc. be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, business, contract awards or other opportunities, goodwill, or data, however caused and regardless of the theory of liability, even if advised of the possibility of such damages. The total aggregate liability of Project Rayder Inc. to any user for all claims arising from or relating to the platform, its services, or these Terms of Service shall not exceed the greater of: (a) the fees paid by the user in the twelve (12) months preceding the event giving rise to the claim; or (b) C$1,000 (Canadian dollars one thousand only).
These limitations apply to users in Canada, the United States, and other international jurisdictions, except where local law prohibits such exclusions or caps. Nothing in this section limits any mandatory consumer protections or rights available under applicable law.
27. Indemnity
Users agree to indemnify, defend, and hold harmless Project Rayder Inc. and its affiliates from and against any claims, losses, liabilities, damages, costs, or expenses (including reasonable legal fees) arising from or relating to: (a) the user's use of the platform in breach of these Terms of Service or applicable law; (b) any User Content the user uploads, transmits, or directs the platform to generate, including any claim that it infringes or misappropriates third party rights or was uploaded without a required consent; (c) the user's access to a third-party portal through the platform in breach of that portal's terms; or (d) any other breach of these Terms of Service by the user. Project Rayder Inc. will promptly notify users of any such claim and may require users to assume control of the defence. Project Rayder Inc. reserves the right to participate in the defence and settlement of any claim. This indemnity applies to users in Canada, the United States and other international jurisdictions.
28. Force Majeure
Neither Project Rayder Inc. nor any user shall be liable for any delay or failure to perform obligations under these Terms of Service if such delay or failure results from circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, civil unrest, government action, pandemic, or interruption of internet or communications services. The affected party must promptly notify the other party in writing of the force majeure event and take reasonable steps to mitigate its effects. Performance obligations will be suspended for the duration of the force majeure event, and resume as soon as reasonably practicable. If the force majeure event continues for more than thirty (30) days, either party may terminate the affected services by written notice.
29. Compliance with Laws and Anti-Abuse
Users must comply with all applicable laws, regulations, and industry standards in their jurisdiction when accessing or using the platform. Users are prohibited from engaging in abusive, unlawful, or harmful activities, including but not limited to fraud, harassment, unauthorised access, or disruption of the platform's security and integrity. Project Rayder Inc. reserves the right to monitor usage, investigate suspected violations, and take appropriate action, including suspension or termination of accounts, to protect the platform and its users. Users are responsible for ensuring that their conduct does not compromise the lawful operation, security, or reputation of the platform. Failure to comply with these obligations may result in immediate restriction of access and further legal action where warranted.
30. Feedback and Suggestions
Users may submit feedback, comments, or suggestions regarding the platform and its services. By providing such input, users grant Project Rayder Inc. a perpetual, irrevocable, worldwide, royalty-free licence to use, modify, incorporate, and otherwise exploit the feedback for any purpose, including improvement of the platform, without obligation to compensate or acknowledge the user. Project Rayder Inc. is not required to treat feedback as confidential and may freely use ideas or suggestions submitted by users.
31. Notices and Communications
All formal notices and routine communications between Project Rayder Inc. and users must be delivered by electronic mail, postal mail, or through the platform's notification system. Notices to Project Rayder Inc. shall be sent to support@myarchfp.com or to Project Rayder Inc., 1366, Creekside Dr., Oakville, ON, L6H 4Z3, Canada. Notices to users will be sent to the email address or postal address provided during account registration. Electronic notices are deemed received upon successful transmission, unless evidence of delivery failure is provided. Postal notices are deemed received five (5) business days after dispatch to the specified address. Users are responsible for maintaining current contact details. For privacy-related communications, users may contact the Privacy Officer at support@myarchfp.com or by phone at +1 (647) 676-7886. Project Rayder Inc. may update contact details or notification procedures by posting changes on the platform or by direct notice to users.
32. Assignment and Subcontracting
Users may not assign, transfer, or delegate their rights or obligations under these Terms of Service without the prior written consent of Project Rayder Inc. Project Rayder Inc. may assign its rights or subcontract performance of any obligations at its sole discretion, provided that such assignment or subcontracting does not diminish the user's rights or remedies under these Terms of Service. Any attempted assignment or transfer by users in violation of this section is void. Project Rayder Inc. remains responsible for the performance of any subcontractors engaged to provide services under these Terms of Service.
33. Entire Agreement
These Terms of Service, together with any documents expressly referenced herein, constitute the entire agreement between Project Rayder Inc. and the user regarding access to and use of the platform. This agreement supersedes all prior or contemporaneous understandings, communications, or representations relating to the services. No oral or written statements outside these Terms of Service shall have binding effect unless expressly incorporated by reference.
34. No Waiver
No failure or delay by Project Rayder Inc. or any user to exercise any right, remedy, or power under these Terms of Service shall operate as a waiver of that right, remedy, or power. Any waiver must be expressly stated in writing and signed by the waiving party. A waiver of any right, remedy, or power on one occasion does not constitute a waiver on any subsequent occasion or of any other right, remedy, or power.
35. Severability
If any provision of these Terms of Service is determined to be invalid, illegal, or unenforceable by a court or competent authority, the remaining provisions shall continue in full force and effect. The parties agree that any invalid or unenforceable provision will be replaced by a valid provision that most closely reflects the original intent and purpose of these Terms of Service.
36. Interpretation and Order of Precedence
For purposes of these Terms of Service, headings are included for convenience only and do not affect interpretation. If there is a conflict between these Terms of Service and an order form signed by Project Rayder Inc., the order form prevails for the specific commercial terms it sets out (such as fees, term, seats, and usage limits); otherwise, these Terms of Service prevail over any other document or policy they incorporate. Defined terms have the meanings given where they are first defined in these Terms of Service. No provision shall be interpreted against Project Rayder Inc. solely by virtue of authorship. References to users include both individual professionals and business entities, as described in the Eligibility and User Categories section.
37. Changes to these Terms
Project Rayder Inc. may update these Terms of Service from time to time. Users will be notified of material changes by email or in-app notification at least thirty (30) days before they take effect; other changes take effect when the updated Terms of Service are posted on myarchfp.com. The date at the top of this page shows when these Terms of Service were last updated. Users who do not agree to a material change may cancel their subscription before the change takes effect. Continued access to or use of the platform after a change takes effect constitutes acceptance of the updated Terms of Service.
38. Contact Information
For questions, support requests, or legal notices relating to the platform or these Terms of Service, users may contact Project Rayder Inc. by email at support@myarchfp.com or by postal mail at Project Rayder Inc., 1366, Creekside Dr., Oakville, ON, L6H 4Z3, Canada. For privacy-related matters, users may contact the Privacy Officer at support@myarchfp.com or by phone at +1 (647) 676-7886.
